"Steward" or "the Service" means Qwibie's board governance software, including app.qwibie.com and related features.
This User Agreement is between Qwibie, Inc. ("Qwibie"), and each organization that uses the Service and each individual it authorizes to use it. It applies together with our Terms of Use and Privacy Policy. If you accept it for an organization, you confirm you have authority to bind that organization. If an organization signs up, the people it authorizes agree to this User Agreement by using the Service.
The Service is available to organizations of any kind, including nonprofit and for-profit entities. The Account Owner is the person who completes checkout or sign-up for the organization. The Account Owner and any administrators the organization names set up its boards and committees, invite people, assign roles such as chair, secretary, treasurer, director or observer, and can remove access. An authorized user is any person the organization invites. The organization is responsible for the people it invites and for what they do in the Service.
Qwibie provides access to Steward, the AI assistant that answers from your organization's records; Meetings, for agendas, live sessions, minutes and votes, and for decisions made between meetings by unanimous written consent before a fixed close where the organization's rules allow it; and the Document Vault, for storing and finding the organization's documents. Features may change over time.
The organization owns its data, including the documents, minutes, votes and messages it uploads or creates, as described in the Terms of Use. For that data, Qwibie acts as a service provider that processes it on the organization's behalf to provide the Service, and it does not sell the data or use it to train AI models. The organization decides who may see its records and is responsible for the lawfulness of what it submits. The organization's administrators decide who holds which role.
The Service records what people enter or do, such as the quorum a person declares, the motions made and the votes and consents cast. The organization is responsible for its own rules on quorum, thresholds, conflicts of interest, recusal and notice, and for deciding whether an action taken between meetings or an electronic signature is valid under its bylaws and the law. Where the Service lets people sign approved minutes: Each signer types their name, confirms their intent, and verifies their identity by email link or passkey. This is not a certificate-backed digital signature or an independent timestamp.
Steward is an AI assistant, not a person. It doesn't vote, approve or sign for your board.
AI-assisted features support drafting, discovery and meeting preparation. Output may be incomplete or wrong, is for information and drafting only, and must be reviewed by a person before it is relied on or adopted. It is not legal, financial or other professional advice. Fiduciary duties, decisions, approvals and legal obligations remain with the organization and its authorized users. See section 6 of the Terms of Use for the AI providers we use.
When you talk to Steward by voice, or call Steward's phone number, your voice is sent to xAI so Steward can understand you and answer aloud. These conversations may be recorded and transcribed, and Steward keeps the text in its history, like a typed chat. The public Steward phone line is offered separately and is not part of the subscription's license. The dial-in number within meetings is part of the Service.
When an officer turns on AI note-taking in a meeting, Steward's tile says so in the room, guests see a notice before anything they say is included, and phone callers aren't included. Steward turns what's said into notes for the minutes draft, and the secretary reviews them. Qwibie doesn't store the audio, and the text taken from speech is deleted when the minutes are approved, or after 30 days. The organization must tell meeting participants that notes are being taken and get any consent required by recording and privacy laws.
Access is on a subscription basis. Pricing is set by the number of governing bodies you operate, not by the number of people you invite. Users are unlimited on all current plans, and there are no usage-based overage charges. New subscriptions begin with a 14-day free trial that requires no payment method and ends automatically unless one is added. Fees, renewal, cancellation and refunds are in section 8 of the Terms of Use and the Subscription Agreement shown at checkout.
Qwibie is not a law firm and does not provide legal, accounting, financial reporting, regulatory filing, property management or similar professional services. The Service does not replace board members, officers, management companies, auditors, attorneys or other professional advisors.
An organization may end its subscription as described in the Terms of Use. An authorized user's access ends when the organization removes it or the subscription ends. We may suspend or end access that breaks the Terms of Use or the law, with notice where practical. After a subscription ends, the organization has 30 days to export its data, after which we delete it as described in the Terms of Use and Privacy Policy.
We may update this User Agreement. We will give at least 30 days' notice of material changes to the Account Owner, by email or in the Service, before they take effect. Using the Service after the effective date means you accept the update.
